Software Terms of Service

TL;DR (Not a Legal Substitute)

  • Covers tournament management software only. The merch shop has separate Merchandise Terms of Service.
  • We provide tournament tools, not tournaments. We don’t host events or handle payouts (except our tip share feature).
  • Organizers must be 18+. Players can be under 18 with parental consent.
  • No gambling, cheating, harassment, or hate speech. Play fair and be respectful.
  • Your content is yours, but you let us display it for running and promoting tournaments.
  • We don’t guarantee uptime or tournament outcomes. Use the platform “as is.”
  • Disputes go to arbitration in Texas, not court.
  • We limit our liability. We’re not responsible for losses related to tournaments, except as required by law.
  • Tip share payments have separate terms. You must accept those if paying a tip share.
  • We collect some personal data, explained in our Privacy Policy.

1. Scope of These Terms

These Terms of Service (“Terms”) govern your use of the RoundOne tournament management platform and related software tools (collectively, the “Service”).
These Terms do not apply to merchandise purchases, which are covered separately under the Merchandise Terms of Service.

By using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.


2. Service Overview & Role

RoundOne provides tournament management tools that allow organizers to create and run tournaments. We are not a tournament organizer, event host, or financial intermediary.
We do not operate tournaments, guarantee prize payouts, or resolve disputes between players and organizers. All tournament content, rules, payouts, and conduct are solely the responsibility of the individual tournament organizers.


3. Eligibility

  • Players: May participate if (a) at least 13 years old or (b) under 18 with parental or guardian consent.
  • Organizers: Must be 18 years or older to create or host a tournament.
    By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

You may use certain features of the Service without creating an account. However, to host tournaments or access certain tools, you may need to register and provide accurate, complete information.
You are responsible for maintaining the security of your account and are liable for all activity that occurs under it.


5. Payments & Tip Share

  • RoundOne does not collect or distribute tournament entry fees or prize pools, except as described in our separate Tip Share Terms of Service.
  • We are not a bank, escrow service, or payment processor. Except for tip-share transactions, any money exchanged between players and organizers is solely their responsibility.
  • We are not responsible for chargebacks, fraudulent payments, or failed payouts between organizers and players.

6. User Content

Tournament organizers may upload names, images, logos, backgrounds, and other content (“User Content”).
By submitting User Content, you grant RoundOne a non-exclusive, worldwide, royalty-free license to display, distribute, and promote such content solely in connection with operating and promoting tournaments hosted on our platform.
You represent and warrant that you have the necessary rights to upload such content and that it does not infringe any third-party rights or violate applicable law.


7. Prohibited Conduct

Tournament organizers are solely responsible for ensuring that their event, including its entry fee structure and prize distribution, complies with all applicable local, state, national, and international laws regarding games of skill, contests, and gambling.

You agree not to:

  • Use the Service for any illegal purpose or to promote illegal activities;
  • Engage in or facilitate gambling (other than lawful tournament entry fees for games of skill);
  • Upload or transmit any content that is defamatory, harassing, abusive, hateful, racist, sexist, homophobic, transphobic, obscene, or otherwise objectionable;
  • Cheat, exploit bugs, or interfere with tournaments in an unfair manner;
  • Impersonate any person or entity, or misrepresent your affiliation;
  • Reverse engineer, decompile, or disassemble any part of the Service;
  • Attempt to bypass or interfere with the security of the Service.

We reserve the right to suspend or terminate your access for violations of these Terms.


We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA).
If you believe content on our Service infringes your copyright, send us a written notice including:

  • Your contact information (name, address, phone, email);
  • A description of the copyrighted work claimed to be infringed;
  • A description of where the infringing material is located on the Service;
  • A statement that you have a good-faith belief that the use is not authorized;
  • A statement under penalty of perjury that the information is accurate and you are authorized to act;
  • Your physical or electronic signature.

We may remove or disable access to alleged infringing content and may terminate repeat infringers.


9. Data & Privacy

We collect and process personal information in accordance with our Privacy Policy.
By using the Service, you consent to our data practices as described there.


10. Export Control & Compliance

You agree to comply with all U.S. and foreign export control laws and regulations.
You may not use or access the Service if you are located in a country or territory subject to U.S. embargoes or are on any U.S. government list of prohibited or restricted parties.


11. Force Majeure

We will not be liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, labor disputes, power outages, internet failures, natural disasters, or similar events.


12. Dispute Resolution & Arbitration

Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
You waive the right to a trial by jury or to participate in a class action.
The arbitration will be conducted in Texas, unless both parties agree otherwise.


13. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that tournament outcomes, results, or user-generated content will be accurate or reliable.


14. Limitation of Liability

To the maximum extent permitted by law:

  • RoundOne is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or relating to the Service.
  • Our total liability for any claim shall not exceed $100 USD or the amount you paid us, whichever is greater.

Some jurisdictions do not allow certain exclusions or limitations, so some provisions may not apply.


15. Indemnity

You agree to indemnify and hold harmless RoundOne, its affiliates, and personnel from any claims, damages, liabilities, and expenses arising from your use of the Service, your User Content, or your violation of these Terms.


16. Severability & Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.


17. Entire Agreement

These Terms, along with our Privacy Policy and any additional agreements explicitly referenced herein (such as the Tip Share Terms of Service), constitute the entire agreement between you and RoundOne concerning the Service and supersede prior agreements.


18. Survival

Provisions which by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.


19. Modifications

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.


20. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, excluding its conflict of law principles.
